Amendments discussed include the following:
Amend all instances of “Executive Board of Directors” to now be Board of Directors.

Article IV: Officers of The Organization
Section II: Financial Board of Directors pg. 4
This section will be stricken from the by-laws.

Section III: Duties and Responsibilities of the Financial Board of Directors pg. 5
This section will be stricken from the by-laws with the exception of item 3 which will be moved to the financial secretary duties section
.
Section IV: Officers of the Organization pg. 5
This heading and the first paragraph will be stricken from the by-laws. Items 1-3 will be moved to Duties of the Board of Directors.

Section V: New President/Prior President pg.5
Amend to read: When a new President is elected, the prior President may assume a position as an advisor of the organization.

Section VII: Duties of the Board of Directors pg. 6 & 7
Item g: last paragraph shall now read “All committee chairpersons have the authority to delegate responsibilities to committee members and shall perform their duties accordingly”.

Number 3, item c: Shall be amended to read “The Financial Secretary shall call a meeting for a quarterly audit to be conducted by the trustees. Audit results will be presented at the next general membership meeting.

Add item d: The fiscal year for the organization shall run from the first day of February to the last day of January.
Number 4, item c: This shall be stricken from the by-laws. Pg. 8

Number 7, item c: Eliminate last sentence – In the event of a tie of votes during the election, then the toss of a coin will constitute a “tie-breaker”.
Section VIII: Elections pg. 9

Number 3: Amend to read: “The election committee shall prepare a report documenting the election results and post for the membership. Results of the election are to be filed in permanent records in the office”.

Number 5: Amend first sentence to read “Nominations of officers shall be held twice in September on dates to be determined by Board of Directors”.

Section IX: Voter Eligibility pg. 10
Amend number 2 & 3 to read “The person must be a member in good standing with the organization – herein defined as follows:”.
Item a : Sentence in parenthesis will be stricken from the by-laws.
Item b : Strike the word “last” in the first sentence. Add to this item “In order to vote, membership must be approved by Board of Directors and the membership on or before the August membership meeting of the election year”.

Section X: Voting Procedures pg. 10
Number 2 : The last sentence shall be stricken from the by-laws.
Number 7: This sentence was moved to Section VIII, Number 3, Elections.
Number 8: To remove redundancy, this will be stricken from the by-laws.

Section VIII: Filling of Officers Vacancy pg. 11
This is a new heading and new section. Numbers 11-17 will be in this section.
Number 11 – now Number 1. The first sentence shall be amended to read “Any officer’s vacancies, except President and Vice-President, are to be filled by a 2/3 majority vote of a quorum of the Board of Directors”.
Number 12 – now Number 2.
Number 13 – now Number 3. This shall be amended to read “In case of vacancy of the office of President or Vice-President, the position will be filled by a special election of the general membership”.
Number 14 – now Number 4.
Number 16 – now Number 5.
Number 15 & 17: These paragraphs shall be stricken from the by-laws.

Section XI: Officer Eligibility pg. 12
Number 3. This shall be amended to read “The person must be a member in good standing of the organization and attend at least 50% (6 out of 12) of the membership meetings beginning September 1 thru August 31 of the year immediately prior to the biennial elections and thereafter to accept nomination for a position on the Board of Directors of the organization”.
The committee decided to decrease the required minimum meetings so that more members would meet the criteria to run for election. We still felt that members should attend meetings so that they would have some knowledge about what is going on within the organization.

Article VII: Meetings pg. 13-14
Section 1: Times, Dates and requirements
Number 3 shall be amended to read “Any Board member who is accused/implicated in a violation of the organization’s By-Laws or of offenses as listed in Section III, Violations of the By-Laws of HCVVO and Outline of Actions to be Taken, refer to Section III, 2b.”

Article IX: Amendments pg. 17-18
Number 2 shall be amended to read “Any topic/issue not covered by the organizations By-Laws regarding parliamentary procedure, shall be referred to Roberts Rules of Order for resolution, until such time as the By-Laws can be amended.”
Proposed By Law changes made by the By Law Committee and approved by the Board of Directors. These changes will be voted on by the membership and the regular meeting on June 12th, 2010.
